Overview
Institute of Corporate Directors (ICD) is a Canadian not-for-profit membership organisation focused on advancing corporate governance and board effectiveness across Canada. Established in 1981, ICD supports directors and senior leaders through governance education, professional development and director accreditation. Its mission is to strengthen organisational performance through effective oversight, accountability and informed decision-making in the boardroom.
ICD operates nationally through a network of regional chapters and serves directors from public companies, private enterprises, Crown corporations and not-for-profit organisations. The organisation promotes high standards of governance and encourages ongoing professional learning for board members.
Mission and focus areas
ICD focuses on improving governance practices, board leadership and director capability in Canada. Its activities centre on director education, governance research, thought leadership and peer engagement. The organisation addresses areas including risk oversight, strategy, financial stewardship, board dynamics, technology oversight and human capital governance.
The organisation also contributes to discussions around long-term organisational resilience, ethical governance and climate-related governance through initiatives such as Chapter Zero Canada, part of the World Economic Forum’s Climate Governance Initiative. Through these activities, ICD supports governance practices linked to sustainable value creation and responsible corporate oversight.
Structure and governance
ICD is governed by a national Board of Directors representing regions across Canada. The Board oversees governance, strategic direction and organisational stewardship in accordance with Canadian not-for-profit legislation and ICD by-laws. National operations are supported by senior management and a network of 11 regional chapters.
The organisation also collaborates with universities, governance institutes and professional bodies. Partnerships with leading Canadian business schools support the delivery of director education programmes and governance training.
Programs and offerings
ICD provides governance education programmes, short courses, webinars, publications and networking events for directors and executives. Its flagship ICD-Rotman Directors Education Program leads to the ICD.D designation, a recognised professional credential for Canadian directors.
Additional offerings include governance essentials programmes, board effectiveness courses, digital learning resources and director-focused events. ICD also publishes governance insights and professional resources designed to support practical board oversight and continuing education for directors operating in complex regulatory and business environments.
