OVERVIEW
The Australian Institute of Company Directors (AICD) is a not-for-profit aimed at strengthening society through promoting corporate governance. AICD aims to be the trusted voice of corporate governance in Australia and has garnered over 45,000 members since its inception.
AICD promotes governance through advocacy, developing resources for business leaders, education, advisory and consulting. Members gain access to a network of 43,000 directors, special events and research.
AICD is governed by a national Board, with up to 12 directors. The Board is comprised of not less than two and not more than four National directors, seven Division directors, and a Chief Executive Officer who may be appointed as a Director by the Board. The Board appoints the chair.
AICD has its national office in Sydney, and additional offices in all Australian states, the Australian Capital Territory and representation in Darwin. Members are served by their state division and a state manager, and that office reports to the national office on the effective running of the division.
Each division has a Council of up to 10 representatives, with up to six councillors elected by members from that state and up to four appointed by the Council.
The primary role of the national office is to support the state divisions by:
- delivering core education courses and events,
- developing policy on director issues,
- publishing Company Director magazine and good practice books for directors, and
- representing the views of members nationally.
The AICD also provides advisory services, including board advice and consulting, in-house governance development, and board and director tools.

FUNDING SOURCES
As a membership-based organisation, AICD draws most of its funding from membership fees and educational activities. It also draws some income from events and publishing. For further information, see AICD’s Annual and Financial Reports here.
